Structure.

Prism Capital LLC is organized as a Wyoming Close Limited Liability Company under Wyoming Statutes Chapter 17, Article 25. Operating instruments are private and not lodged in any public registry beyond the minimum required by the State of Wyoming.

The firm has no parent, no holdco above it, and no consolidated reporting obligation. It is the same entity its founding partners signed into existence on the day it was formed.

Investing capital is provided by the partnership. Membership is by invitation. It cannot be applied for, purchased, or transferred.

Investment and company-formation decisions are taken inside the partnership. Authority is distributed by signed instrument, not by title.

January 1 — December 31, by the Gregorian calendar.

Service of process must be made through the registered agent of record for the LLC, at the address registered with the Wyoming Secretary of State. The firm does not accept service through this site or by email.
